Terms Of Service:
Participant agrees that all material submitted (the "Materials") becomes the immediate property of Band Of Locksley, LLC ("Locksley") and that no compensation shall be provided at anytime for any of the Materials whether used or unused. Participant acknowledges that, as between Locksley and Participant, that Locksley solely owns and controls all rights in the Materials (including, but not limited to, the copyright, trademarks and related rights therein and all extensions and renewals thereof) and that Participant assigns to Locksley, exclusively, irrevocably and in perpetuity all right, title and interest in such Materials, including, but not limited to, all copyrights in the Materials (and all extensions and renewals thereof) and that Locksley without limitation may exploit the Materials in any and all media, forms and methods, now known or hereafter devised, throughout the world, in perpetuity.

Participant represents and warrants that (i) participant has full power and authority to enter into and fully perform this agreement and that Participant is either the sole author and owner or controller of the Materials and of the copyright trademarks or related rights (and all extensions and renewals thereof)in perpetuity, throughout the universe in all media now known or hereafter developed, in any and all languages and versions, with the right to use, change and freely assign the Materials in any manner that it may determine; (ii) all elements within the Materials are either original or are fully cleared by the creator; (iii) the Materials are free and clear of any liens or claims with respect to the use of such image in the manner authorized herein, and that such use authorized herein will not give rise to any claims of infringement, invasion of privacy or publicity or claims for payment of re-use fees or residuals.

Participant agrees to defend, indemnify and hold harmless Locksley, its parent, affiliates, officers, directors, employees and agents its successors and assigns from and against any and all liability, for any and all claims, damages, costs or judgments (including reasonable attorney's fees) brought on behalf of any third party (including without limitation the Individuals rendering services on such Project) arising from or out of the services rendered hereunder and/or arising from or out of the breach, or any claim which, if true, would constitute such a breach, of this Agreement by Participant (including any breach of its representations or warranties) or Participant’s negligence or willful misconduct. Participant shall be solely liable for contracts made between Participant and any and all third parties. Locksley agrees to defend, indemnify and hold harmless Participant, its parent, affiliates, officers, directors, employees and agents from and against any and all liability, claims, damages, costs or judgments (including reasonable attorney's fees) brought on behalf of any third party (including Locksley's employees) arising from or out of the breach by Locksley of this Agreement or Locksley’s negligence. Locksley shall be solely liable for contracts made between Locksley and any and all third parties.

This agreement is binding upon and shall inure to the benefit of the respective Producers, successors, and assigns of the parties hereto. This agreement sets forth the entire understanding of the parties hereto with respect to the subject matter hereof and shall be governed by and construed in accordance with the laws of the state of New York.
